📑 Standard Terms & Conditions of Sale

1. Definitions

  • “Company” refers to OneTo7 Solutions, a trade name of Oneto7 Safety Nets LLP.
  • “Client” refers to the individual or legal entity purchasing products or services from the Company.
  • “Services” include Odoo ERP implementation, functional consulting, digital solutions, fresher hiring support, and related offerings.
  • “Deliverables” means any reports, documents, modules, or solutions provided under the scope of work.

2. Scope of Services

  • All services shall be provided strictly as per the mutually agreed proposal/quotation.
  • Any additional requirements outside the agreed scope will be treated as Change Requests and charged separately.
  • Custom module development, third-party integrations, or hosting services are excluded unless explicitly mentioned in writing.

3. Pricing & Payment Terms

  • Prices are quoted in Indian Rupees (INR) unless otherwise agreed in writing.
  • Taxes (GST or any applicable levies) shall be charged extra as per law.
  • Payment milestones shall be as per the approved proposal/quotation.
  • Delayed payments beyond due dates shall attract an interest of 1.5% per month or the maximum allowed by law, whichever is lower.

4. Delivery & Timelines

  • Project timelines provided in proposals are estimates and subject to client’s timely inputs, approvals, and testing.
  • The Company shall not be liable for delays caused by client dependencies, third-party vendors, or force majeure events.

5. Intellectual Property Rights (IPR)

  • All standard Odoo modules remain the intellectual property of Odoo S.A. under their licensing model.
  • Any custom modules or enhancements developed specifically for the Client shall remain the property of the Company until full payment is received.
  • Upon full payment, the Client shall receive a non-exclusive, non-transferable license to use such custom developments within their organization.
  • Reuse of generic frameworks (such as ESS Portal or KPI Tracking) remains the proprietary IP of the Company.

6. Confidentiality

  • Both parties shall keep confidential all non-public business, technical, or financial information received from the other party.
  • Confidentiality obligations shall survive termination of the contract.

7. Warranty & Support

  • Standard Odoo modules are covered under Odoo S.A.’s license terms; the Company provides configuration and implementation only.
  • Deliverables are warranted for 30 days post-handover against major functional defects.
  • Ongoing support, bug fixes, or version upgrades require a separate AMC (Annual Maintenance Contract) or Support Agreement.

8. Limitation of Liability

  • The Company shall not be liable for any indirect, incidental, or consequential damages, including but not limited to business interruption, loss of data, or loss of profits.
  • Maximum liability in any case shall not exceed the amount paid by the Client for the specific service causing the claim.

9. Termination

  • Either party may terminate the engagement with a 30-day written notice in case of material breach not remedied within that period.
  • Upon termination, the Client shall pay for all work completed up to the date of termination.

10. Governing Law & Jurisdiction

  • These Terms shall be governed by and construed under the laws of India.
  • Any disputes shall be subject to the exclusive jurisdiction of the courts at Hyderabad, Telangana.

11. Acceptance

  • By engaging the Company’s services or making payment against an invoice, the Client acknowledges and agrees to these Terms & Conditions.
